1. Acceptance of Terms

By downloading, installing, or using Universal Drop ("the Software" or "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Software.

2. Service Description

Universal Drop is a cross-platform file sharing application that enables secure, encrypted file transfers between Mac and Windows devices over local networks. The Service operates entirely on your local network, with all file transfers occurring directly between your devices without passing through our servers.

Key features include:

  • Direct peer-to-peer file transfers over local networks
  • HTTPS encrypted connections for secure data transmission
  • QR code file sharing with mobile devices
  • Automatic device discovery on the same network

3. Subscription and Payment

3.1 Free Trial

Universal Drop may offer a free trial period to eligible new users at our sole discretion. The duration and availability of the free trial are subject to change without notice and are not guaranteed. During the trial period (if granted), you have access to the features of the Software as determined by us. No payment information is required to start your free trial.

Trial Eligibility: We reserve the right to determine trial eligibility and may deny or revoke trial access at any time, including but not limited to cases of:

  • Suspected abuse or misuse of the trial program
  • Multiple trial sessions created by the same user
  • Violation of these Terms or our policies
  • Use of the Software in a manner inconsistent with its intended purpose

Universal Drop has the sole discretion to prohibit trial access to any user without prior notice or explanation.

3.2 Subscription Plans

After the free trial period expires, continued use of the Software requires an active paid subscription. Subscription plans and pricing are available on our website and may vary by region.

3.3 Billing and Renewal

Subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. All payments are processed in the currency displayed at the time of purchase, which may vary based on your location.

3.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Software until the end of your current billing period.

Refunds are generally not provided for partial subscription periods. However, if you experience technical issues that prevent you from using the Software, please contact our support team at [email protected] and we will work with you to resolve the issue or consider a refund on a case-by-case basis.

4. License Grant

Subject to your compliance with these Terms and payment of applicable fees, Universal Drop grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software for personal or internal business purposes.

You may not:

  • Modify, reverse engineer, decompile, or disassemble the Software
  • Redistribute, sublicense, rent, lease, or resell the Software
  • Remove or alter any proprietary notices or labels on the Software
  • Use the Software for any illegal, harmful, or unauthorized purposes
  • Attempt to circumvent any technical limitations or security measures

5. Privacy and Data Security

Your privacy is paramount. Universal Drop is designed with privacy-first principles:

  • No file storage: We do not collect, store, or have access to any files you transfer using the Software. All transfers occur directly between your devices.
  • Local network only: File transfers happen entirely over your local network without routing through external servers.
  • Encrypted connections: All data transmissions are encrypted using HTTPS to protect against interception.
  • Minimal data collection: We only collect essential technical data (such as device type and app version) to improve the Service. No personal files or content are ever accessed.

6. User Responsibilities

You are solely responsible for:

  • All content and files you transfer using Universal Drop
  • Ensuring you have the legal right to transfer and share such content
  • Complying with all applicable laws and regulations in your jurisdiction
  • Maintaining the security of your devices and network
  • Any consequences arising from your use of the Software

You agree not to use the Software to transfer any content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
  • Infringes any intellectual property rights or other proprietary rights
  • Contains viruses, malware, or other harmful code
  • Violates any third-party rights, including privacy rights

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Software will be uninterrupted, error-free, or secure
  • Any defects or errors will be corrected
  • The Software will meet your specific requirements
  • File transfers will always be successful or complete

USE OF THE SOFTWARE IS AT YOUR OWN RISK. You are responsible for implementing adequate backup and security measures for your data.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UNIVERSAL DROP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to or alteration of your transmissions or data
  • Damages resulting from any interruption or cessation of the Service
  • Any damages arising from your use or inability to use the Software

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR HKD 100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

9. Changes to Service and Termination

9.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Software at any time, with or without notice. We will make reasonable efforts to notify users of significant changes via email or in-app notifications.

9.2 Termination by You

You may terminate your use of the Software at any time by uninstalling it from your devices and canceling your subscription.

9.3 Termination by Us

We may terminate or suspend your access to the Software immediately, without prior notice or liability, if:

  • You breach these Terms
  • Your subscription payment fails or is reversed
  • We are required to do so by law
  • We reasonably believe your use poses a security or legal risk

Upon termination, you must immediately cease all use of the Software and delete all copies from your devices.

10. Intellectual Property

The Software, including all content, features, functionality, trademarks, logos, and visual interfaces, is owned by Universal Drop and is protected by international copyright, trademark, and other intellectual property laws.

These Terms do not grant you any rights to use our trademarks, logos, or branding without our prior written consent.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising from or relating to these Terms or the Software shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or for other operational reasons. When we make material changes, we will notify you by:

  • Posting the updated Terms on our website with a new "Last updated" date
  • Sending you an email notification (if you have provided your email address)
  • Displaying an in-app notification

Your continued use of the Software after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Software and cancel your subscription.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Universal Drop regarding the Software.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
